Robert D. Diaz
Robert Diaz is a corporate transactional of counsel attorney with Finlayson Williams Toffer Roosevelt & Lilly LLP. Mr. Diaz’ practice focuses on commercial lending, mergers and acquisitions and other general corporate matters.
Mr. Diaz serves as outside corporate counsel to several public and private companies from various industries, including retail banking, fashion and apparel and medical device manufacturers. Mr. Diaz also enjoys representing and counseling entrepreneurial and start-up clients in Orange County and Los Angeles.
Mr. Diaz is fluent in Spanish and has significant experience representing clients in cross-border transactions in Latin America both from his work with Finlayson Williams Toffer Roosevelt & Lilly LLP and from his prior experience as an associate with the Latin America Practice Group in the Los Angeles office of Paul Hastings and as an associate with Hodel Briggs Winter LLP in Irvine.
Experience
Mr. Diaz’ experience includes:
- Representation of financial institutions and private and public borrowers in structuring and negotiating syndicated and non-syndicated domestic commercial loan transactions, both secured and unsecured.
- Representation of U.S. and Latin American lenders and U.S. government agencies with respect to structuring and negotiating cross-border commercial loan transactions.
- Representation of privately held companies in acquisitions by both domestic and international purchasers.
- Representation of clients with respect to various general corporate law matters, including licensing arrangements, executive compensation agreements, severance arrangements, phantom stock arrangements and participation agreements and other general contractual matters.
- Representation of entrepreneurial clients with respect all manner of start-up counseling and planning.
Before joining Finlayson Williams Toffer Roosevelt & Lilly LLP as an of counsel attorney, Mr. Diaz was a corporate law associate in the Los Angeles office of Paul, Hastings, Janofsky & Walker LLP and with Hodel Briggs Winter LLP in Irvine.
Community Involvement
Mr. Diaz is committed to community involvement and currently participates in the following community activities:
- He serves as the President of the Chapman University Alumni Association. He also serves on the Board of Visitors for Chapman University’s Law School.
- He serves on the board of directors of the Orange County Hispanic Chamber of Commerce.
- He serves on the Care for the Poor Committee of the St. Joseph Hospital Foundation which is charged with the promotion and support of the Puente a La Salud Mobile Community Clinics and the La Amistad de Jose Family Health Center.
Mr. Diaz was commissioned as an officer in the United States Army Reserve in 2002. Mr. Diaz was mobilized and served approximately twenty months in Germany with the 1st Armored Division and United States Army, Europe in support of Operation Iraqi Freedom and Operation Enduring Freedom. Mr. Diaz currently holds the rank of Captain in the Judge Advocate General’s Corps and proudly serves with the 416th Civil Affairs Battalion (Airborne) in San Diego.
Education
Mr. Diaz graduated from the University of Chicago Law School in 2000. He received his B.S. degree in Business Administration, with a minor in Political Science, from Chapman University in 1997, where he received the Cheverton Trophy, the highest award granted to an undergraduate.
